Lp6L has received all necessary regulatory approvals to transfer operating responsibility for Waterford 3 to E01 with the exception of that of the Securities and Exchange Commission (SEC). It is our understanding that the ,

SEC is completing it's review of our application for approval and will take action later this month. However, unanticipated delays in obtaining SEC approval may prevent the implementation of At..endment No. 60 within the specified 180 days (June 12, 1990). Lp6L, therefore, requests an extension of 90 days to provide additional time for these agency reviews.

l We believe this request to be reasonable and justified. Although we

,beheve the SEC review will be completed before June 12, 1990, this extension is being requested to allow routine NRC review and approval to support the contingency should SEC approval not be received in a timely manner. Based on the guidelines presented in 10CFR50.92, Lp6L has concluded that this request involves no significant hazards considerations and does not change the Amendment No. 60 safety evaluation conclusions or
