This letter responds to your office's inquiries of March 9 and March 14, 1973.

The studies referenced in the letter of March 9 were undertaken at our direction in preparation for this proceed-ing. The data upon which these studies are based were ob-tained from reports filed with the Federal Power Commission.

The studies are, of course, work product and therefore privileged.

Concerning the information sought in your letter of March 14, please be advised that each document was compared to the Joint Document Request and to other discovery demands and, if responsive to any item therein, was produced. Even assuming the relevance of such inquiry, your office is ob-viously in as good a position as ours to ascertain which document responds to which item. In any event, in the instant case, such a determination would represent the --

opinions and conclusions of counsel and would therefore be privileged. See Section 2.740 (b) (2) of the Commiss on's Rules of Practice.
