SUMMARY

OF CLOSED MEETING HELD WITH CONSTELLATION ENERGY NUCLEAR GROUP, LLC TO DISCUSS JOINT VENTURE WITH EDF DEVELOPMENT, INC. (TAC NOS. ME0443, ME0444, ME0445, ME0446, AND ME0447)

On October 23,2009, the U.S. Nuclear Regulatory Commission (NRC) staff held a meeting in Rockville, Maryland, with members of Constellation Energy Nuclear Group, LLC (CENG). The purpose of this meeting was to discuss the proposed joint venture with EDF Development, Inc.

(EDF) including the restructuring steps and timing of the sale of an ownership interest in CENG.

The financial information and specific details of the meeting were determined proprietary; and, therefore, the meeting was closed to the public. The NRC made brief opening remarks, and CENG then provided an overview of its plan and timing for completing its corporate restructuring actions in advance of the final closing of the proposed EDF acquisition of a 49.99% interest in CENG. CENG also described the additional financial support that would be provided during the restructuring steps prior to the expected completion of the EDF transaction. The NRC staff requested additional information and clarification on (1) the justification for why the timing of the closing process complies with the October 9, 2009, NRC Orders, (2) CENG's redress plan in the unlikely event the EDF transaction does not close, (3) any additional financial support measures being taken to cover interim restructuring periods prior to the consummation of the EDF transaction, (4) all corporate restructuring steps needed to facilitate the proposed transfer, including those steps already completed, and (5) any additional financial documentation that have been amended from the time of the original application such as operating and power purchase agreements.

In closing, the licensee stated that its planned closing process was in compliance and consistent with the NRC Orders approving the license transfers, and that it has implemented enhanced financial support arrangements such that the completion of the restructuring steps in advance of closing the EDF transaction will not challenge any financial qualifications of the Constellation organization and licensees. They plan to submit a letter addressing several staff requests for clarification in a timely manner.
