NOTICE OF CONSIDERATION OF APPROVAL OF APPLICATION REGARDING PROPOSED CORPORATE MERGER AND OPPORTUNITY FOR A HEARING - PILGRIM NUCLEAR POWER STATION, (TAC NO. MAS 333)

Dear Mr. Sullivan:

Enclosed is a copy of a " Notice of Consideration of Approval of Application Regarding Proposed Corporate Merger and Opportunity for a Hearing" related to the application dated February 3, 1999, submitted under cover of a letter from Ropes and Gray dated February 5,1999, and supplement dated May 27,1999. The application (pursuant to Title 10 of the Code of Federal Reaulations (10 CFR) Section 50.80) seeks approval of the proposed indirect transfer of the Facility Operating License for the Pilgrim Nuclear Power Station held by Boston Edison Company. The indirect transfer would result from the planned formation of a new holding company, NSTAR, of which Commonwealth Energy System and BEC Energy, the parent .

company of Boston Edison Company, would become wholly-owned subsidiaries.
