Dear Ms. Murray:

I am responding to the letter you sent to Mr. Samuel Collins on June 25,1999, opposing the merger of BEC Energy and Commonwealth Energy System in the Commonwealth of l

Massachusetts. This merger was related to the issuance of the sale and transfer conforming

amendments for the Pilgrim Nuclear Power Station (Pilgrim) only if the. merger were to precede the sale of the plant. BEC Energy owns Boston Edison Company, which did own Pilgrim.

i Therefore, BEC Energy would not be able to merge with Commonwealth Energy System without Nuclear Regulatory Commission (NRC) approval of an indirect transfer of the operating license as long as Boston Edison Company owned Pilgrim.

By Order dated April 29,1999, the staff approved the sale and transfer of Pilgrim from Boston Edison Company to Entergy Nuclear Generation Company. The Conforming Amendment finalizing the sale.and transfer was issued on July 13,1999. As such Boston Edison Company is no longer the licensee.

Your comments relate to th' e potential effects of the merger on the financial consequences to

the public and on the reliability of the distribution system. Even if Boston Edison Company were still the licensee, these comments are not within the purview of the NRC. For the sale, the NRC had the responsibility only to ensure that Entergy Nuc; oar Generation Company (the buyer) is both financially and technically ovalified to own and operate Pi! grim. We have forwarded this

' letter to the Federal Energy Replatorv Commission and the Massachusetts Department of Transportation and Energy for their consideration ct tha !ssues raised in your letter.
