Dear Mr. Davis:

With this letter, Nuclear Fuel Services, Inc. (NFS) submits to the Com-mission an application for amendnunt of License No. CSF-1. %is anendment, in conjunction with Anendnent 31 issued on Septenber 30, 1981, is required in order that the Department of Energy (DOE) and the Ncw York State Energy Research and Develognent Authority (NYERDA) may carry out the conditions of Section 2(b) (4) (A) of the West Valley Denonstration Project Act, Pub. L.96-368 (1980).

mis amendnunt terminates all rights and responsibilities of NFS under License No. CSF-1 and transfers to NYERDA all residual rights and responsi-bilities of the licensees upon cmpletion of the West Valley Denonstration Project. All other information required by the Cmmission for annndnent of an operating license is contained in the previous svbmissions of the licensees under Docket No. 50-201.

We requested amendment which adds a Paragraph 8 to the license, is as follows:

8.

Notwithstanding any other 1.rovisions of this license, all rights and responsibilities of the licensee, Nuclear Fuel Services, Inc. (NFS), under License No. CEF-1 are terminated upcn DOE assuming exclusive possession and control of the facility. Upon DOE's assunption of exclusive possession and control of the facility as provided in Paragraph 7 above, all refences to

' licensee',* ' licensees', ' licensees under this license, as their respective interests under this limnse appear', or ' licensees, as their respective interests under this license appear', shall thereafter refer exclusively to the New York State Energy Research and Development Authority.

I understand that NYERDA is prepared to join in this application in con-nection with a settlenent between NFS and NYERDA of their contractual disputes, provided that any such concurrence by NYERDA may be withdrawn, without prejudice, y/500 '77 i.
