SUMMARY

OF NOVEMBER 15, 2012, PRE-SUBMITTAL PUBLIC MEETING WITH LUMINANT GENERATION COMPANY LLC TO DISCUSS THE PROPOSED INDIRECT TRANSFER OF LICENSES FOR COMANCHE PEAK NUCLEAR POWER PLANT, UNITS 1 AND 2 (TAC NOS. ME9767 AND ME9768)

On November 15, 2012, a public meeting was held between the U.S. Nuclear Regulatory Commission (NRC), and representatives of Luminant Generation Company LLC (Luminant, the licensee), at NRC Headquarters, Rockville, Maryland. The meeting notice and agenda, dated November 5, 2012, is located in the Agencywide Documents Access and Management System (ADAMS) under Accession No. ML12306A324.

The licensee requested the meeting to discuss its proposed indirect license transfer application wherein it requested that the NRC issue an order consenting to the indirect transfer of the Licenses to operate and own the Comanche Peak Nuclear Power Plant (CPNPP), Units 1 and 2.

A list of meeting attendees is provided in Enclosure 1 to this meeting summary.

Meeting Summary As explained in the application, the licensee stated that Energy Future Competitive Holdings Company (EFCH) is a direct wholly owned subsidiary of Energy Future Holdings Corp. (EFH).

EFCH, through its wholly owned subsidiaries, owns Luminant Power, the owner and operator of CPNPP, Units 1 and 2. EFH is planning an internal transaction, the ultimate result of which is to convert EFCH from a Texas corporation into a Delaware limited liability company.

The licensee stated that the proposed license transfer will provide additional financial flexibility for EFCH. The license also stated that the proposed transfer will not require a license amendment for CPNPP, Units 1 and 2, there will be no management changes at the plant, and there will be no active foreign participation. Additionally, the licensee stated that the Decommissioning Fund does not change and this transfer would not likely be affected by any future "financial shocks," such as natural gas prices, etc.

The licensee agreed to provide certain additional documents, proprietary in nature, which the NRC staff requested. The licensee's license transfer application requested for NRC approval by no later than December 28,2012. However, the NRC staff stated that although the staff will process the application in an expedited fashion, the approval date is subject to the licensee's submittal of requested information and the staff's expected review.
