Dear Sir:

By the referenced letter, Arizona Public Service Company

("APS"), as Project Manager and Operating Agent of the Palo Verde Nuclear Generating Station ("PVNGS"), filed an Applica-tion for Amendment to Construction Permits Nos. CPPR-141, CPPR-142 and CPPR-143 in the above-referenced docket numbers.

Such Application seeks the approval of the transfer by the El Paso Electric Company ("El Paso" ) to the M-S-R Public Power Agency ("M-S-R") of a 3.95% undivided ownership interest as a tenant in common with the other Participants in PVNGS, and the amendment of Construction Permits Nos.

CPPR-141, CPPR-142 and CPPR-143 to reflect such transfer.

APS enclosed with the referenced letter the financial qualifi-cations information required by 10 CFR $ 50.33(f) and 10 CFR Part 50, Appendix C. Such information consisted of responses to eleven questions provided by the NRC Staff to APS and was contained in a separate document entitled "Palo Verde Nuclear Generating Station, Units 1, 2 and 3 (Docket Nos. STN 50-528/

529/530), Financial InformationRegarding M-S-R Public Power Agency in Support of Application for Amendment to Construction Permits Nos. CPPR-141, CPPR-142 and CPPR-143" (hereinafter referred to as the "M-S-R Financial Information" ).

APS provided in Appendix A of the M-S-R Financial Information a copy of the assignment agreement between El Paso and M-S-R in substantially the form anticipated to be executed. In the qBO~

Director of Nuclear Reactor Regulation February 10, 1982 Page Two answer to Question 9 of the M-S-R Financial Information, APS stated that a copy of the executed assignment agreement would be submitted when available. Accordingly, enclosed are nineteen (19) copies of the executed assignment agreement between El Paso and M-S-R.
