Dear Mr. Denton:

Robert M. Ginn, Chief Executive Officer of The Cleveland Electric Illuminating  ;

Company (CEI), wrote to you on December 20, 1985 setting forth information on  !

the proposed affiliation between CEI and The Toledo Edison Company (TE). On April 29, 1986, following the approval of the Securities and Exchange Commission, the affiliation was implemented. (A copy of the Securities and Exchange Commission's April 28, 1986 order was furnished to the Commission by letter dated May 5,1986).

As a result of the affiliation, CEI is now a subsidiary of a holding company, Centerior Energy Corporation, and continues as an electric utility company.

CEI's nuclear operations continue with essentially the same employees and management structure.

With the establishment of the holding company, the specific management organization changes described in Mr. Ginn's December 20 letter have been put into effect. As Senior Vice President, Nuclear Group, I now report to the President of CEI who in turn reports to the Chief Executive Officer of Centerior. No other structural changes affecting the management of Perry have been made. The nuclear operations organization for plant management and technical support, as described in the Perry FSAR and Technical Specifications, remains unchanged. We will keep you fully informed of any future changes such as those described in our December 20, 1985 letter, and these will not be made until Unit I has reached full operations status.
