Amendment to Application for Design Certification of AP600 to Reflect the Sale of CBS Commercial Nuclear Business to Westinghouse Electric Company LLC

Dear Mr. Wilson:

On March 22,1999, CBS Corporation (formerly Westinghouse Electric Corporation) l

("CBS") completed the sale of its commercial nuclear and government operations businesses, with certain exceptions, to British Nuclear Fuels, plc ("BNFL") and Morrison Knudsen Corporation. (Excluded from the sale transaction were nuclear related assets and operations of CBS involving inactive facilities which are in the process of being decommissioned.) The assets and operations of the commercial nuclear business were transferred on the closing date to Westinghouse Electric Company LLC

(" Westinghouse"), a Delaware limited liability company, which was formed as an indirect  !

subsidiary by BNFL through its United States subsidiaries. As part of the sale '

transaction, the AP600 development program was transferred to Westinghouse.

CBS employees responsible for licensed materials and activities of the commercial

. nuclear business became Westinghouse employees as of the closing date and continue i to be responsible for such activities.- Westinghouse meets all requirements for a U.S.  !

Nuclear Regulatory Commission ("NRC") licensee and holder of approvals and certificates,' including financial and technical qualifications. Westinghouse has agreed to abide by all commitments and representations made to the NRC prior to the closing aate, as well as all of the terms and conditions of the licenses, approvals and certificates. By letter dated March 10,1999, the NRC amended, effective on the closing date (March 22,1999), the materials licenses, quality assurance program approvals and certificates of compliance held by CBS to accommodate the transfer of such authorizing documents from CBS to Westinghouse.

. On June 26,1992, Westinghouse applied to the NRC for design certification for the ' <

' AP600 nuclear power plant. Please amend the application for the AP600, including the AP600 Standard Safety Analysis Report ("SSAR") and the AP600 Design Control Document ("DCD"), to reflect the above described sale transaction. Specifically, please amend Section 1.4.1 of the SSAR and Section 1.4.1 of the DCD to substitute '

' Westinghouse Electric Company LLC" for ' Westinghouse Electric Company

! (Westinghouse), a Division of CBS Corporation" as the program manager responsible for the overall design and design certification of the AP600 nuclear power plant.
