Transmitted as Enclosure 1 to this letter is the License Transfer Application of Montaup Electric Company.(Montaup) and Little Bay Power Corporation (Little Bay) requesting, pursuant to 10CFR 50.80, that the Commission' consent to the transfer of Montaup's interest in the Operating >

. License for Seabrook Station Unit' No. I to Little Bay. The transfer is being undertaken by i Montaup as part of the divestiture of all ofits generating assets pursuant to the restructuring of .

the electric utility industry occurring in Massachusetts and Rhode Island. .

l i Enclosure 2 of this letter is License Amendment Request 98-16 that would delete Montaup as  !

one of the licensees on the Seabrook license and insert Little Bay in its place.

iLicense Amendment' Request 98-16 has been reviewed and approved by the Station Operation f Review Committee and the Nuclear Safety Audit Review Committee. A copy of this letter and i the enclosed License Amendment Request have been forwarded to the New Hampshire State Liaison Officer pursuant to 10 CFR 50.91(b).

It is requested that the' Commission review the enclosed Transfer of Control and License L:. Amendment Request and complete the requested actions by January 31, 1999 to support a  ;
