Dear Mr. and Mrs. Johnston:
I am responding to your letter of July 18,1999, to Mr. Samuel Collins. In your letter you expressed concerns with certain terms of the proposed merger between the New England Electric System (NEES) and the National Grid Group. You particularly object to having to take a cash payout in 1999 for your shares in NEES and believe that it would hurt you financially to do so. You asked the Nuclear Regulatory Commission (NRC) to petition the U.S. Securities and Exchange Commission (SEC) to investigate this matter relative to shareholder options.
Urfortunately, the NRC has no authority to interject itself in the NEES merger with the National Grid Group with respect to your shareholder concerns. We are in the process of reviewing the merger, but our review is limited to ensuring that NEES's Subsidary, New England Power will remain financially and technically qualified as an owner of its minority shares of the Seabrook and Millstone 3 nuclear plants.
However, we will forward your letter to the SEC for any consideration and action it deems appropriate. A copy of our forwarding letter is enclosed. Please feel free to contact Robert Wood on (301) 415-1255, if you have any questions regarding this matter.
