GE-HITACHI NUCLEAR ENERGY AMERICAS, LLC - RE: TRANSMISSION OF U.S. SECURITIES EXCHANGE COMMISSION SCHEDULES 13D AND 13G (EPID L-2021-LLL-0003)
Dear Mr. Feyrer:
By Orders dated September 6 and September 26, 2007, the U.S. Nuclear Regulatory Commission (NRC) approved the transfer of the facility licenses for the Vallecitos Boiling Water Reactor (Docket No. 50-18, License No. DPR-1), the General Electric Test Reactor (Docket No. 50-70, License No. TR-1), the Nuclear Test Reactor (Docket No. 50-73, License No. R-33), and the ESADA Vallecitos Experimental Superheat Reactor (Docket No. 50-183, License No. DR-10) and special nuclear material (SNM) license numbers SNM-960 (Docket No.70-754), SNM-1270 (Docket No. 70-1220), and SNM-2500 (Docket No. 72-1) from the General Electric Company to GE-Hitachi Nuclear Energy Americas, LLC (GEH) (Agencywide Documents Access and Management System (ADAMS) Accession Nos. ML071450174, ML071420249, and ML071841159, respectively). This approval included conditioning each of these licenses to require that GEH transmit to the NRC, within 30 days of filing with the U.S. Securities Exchange Commission (SEC), any schedule 13D or 13G filed pursuant to the Securities Exchange Act of 1934 that discloses beneficial ownership of a registered class of General Electric stock. By letter dated February 15, 2021 (ADAMS Accession No. ML21046A092), as supplemented by letter dated March 12, 2021 (ADAMS Accession No. ML21071A283), GEH transmitted to the NRC the schedules 13D and 13G filed with the SEC from September 6, 2007, through February 15, 2021, disclosing beneficial ownership of General Electric stock.
The NRC staff determined that all the transmitted schedules 13D and 13G represented stock acquisitions by major financial institutions that are organized and headquartered within the U.S.
The acquisitions, ranging from approximately 5 percent to 8 percent common stock, are indicative of typical corporate strategy for such major financial institutions. While these financial institutions may have foreign subsidiaries or may be acquiring General Electric stock to be traded on foreign markets or issued to foreign investors, the NRC staff does not determine the
M. Feyrer degree to which foreign entities or individuals own relatively small numbers of shares of licensees stock.
