- ORDER APPROVING THE INDIRECT TRANSFERS OF CONTROL OF LICENSES (ENTERPRISE PROJECT IDENTIFICATION NUMBER L-2023-LLM-0003)

The U.S. Nuclear Regulatory Commission (NRC) staff reviewed the application from General Electric Company (GE), GE-Hitachi Nuclear Energy Americas, LLC (GEHA), and Global Nuclear Fuel-Americas, LLC (GNF-A) (together, the applicants) requesting that the NRC consent to the indirect transfers of control of the reactor, materials, and export licenses held by GEHA and GNF-A and providing related notice for the Certificates of Compliance held by GEHA and GNF-A. The application was transmitted by letter dated May 30, 2023 (Agencywide Documents Access and Management System [ADAMS] Accession Number ML23152A116), as supplemented by letters dated June 20, 2023 (ML23171A976),
June 26, 2023 (ML23177A089), and September 27, 2023 (ML23271A086) (collectively, the application). Attached to their June 26, 2023, letter, the applicants provided a copy of the State of Delaware Certificate of Formation of GE Vernova LLC, the intermediate holding company and indirect corporate parent of both GEHA and GNF-A that will later be converted into GE Vernova Corp. to, then, become the ultimate U.S. corporate parent for both GEHA and GNF-A. Attached to their September 27, 2023, letter, the applicants provided a revised list of the names of the principal officers for GE Vernova Corp. that will have direct responsibilities for the activities of GEHA and GNF-A. The applicants submitted the application pursuant to Section 184 of the Atomic Energy Act of 1954, as amended (the Act),
and Title 10 of the Code of Federal Regulations (10 CFR) sections 50.80, 70.36, 72.50, and 110.50. A notice of receipt of the application and opportunity to request a hearing and provide written comments was published in the Federal Register on July 19, 2023 (88 FR 46197). The NRC did not receive any comments or requests for hearing in response to this notice.
The NRC staff has completed its review of the application and determined that the proposed indirect transfers of control of the NRC licenses is in accordance with the Act and the NRCs regulations and will not change GEHAs or GNF-As operations, structure, locations, facilities, equipment, or procedures associated with licensed activities. Enclosure 1 to this document provides the safety evaluation documenting the basis for the NRC staffs findings. An order approving the indirect transfers of control of the NRC licenses is provided in Enclosure 2.
The order will be published in the Federal Register.
