CITY OF FAIRVIEW PARK RESOLUTION NO. 96 - 42 REQUESTED BY: MAYOR KARL KUBB SPONSORED BY: COUNCILMAN DePOLO A RESOLUTION SUPPORTING THE MERGER OF CENTERIOR ENERGY CORPORATION AND OHIO EDISON UNDER A NEW HOLDING COMPANY CALLED FIRSTENERGY WHEREAS, Centerior is a valued cooperate citizen, significant taxpayer and major employer in the city of Fairview Park; and WHEREAS, the merger of Centerior Energy Corporation and Ohio Edison would create a $5 billion, Fortune 300 company; and WHEREAS, this new company would become the nation's 11* largest investor-owned electric system; Ohio's largest taxpayer, with $516 million in annual payments; and one of the state's top 20 employers; and WHEREAS, the merger would keep jobs in Ohio, where 87 percent of FirstEnergy's revenues are generated,77 percent ofits kilowatt-hours and revenues are sold, and 75 percent ofits i employees with advanced degrees graduated from our state's institutions of higher learning; and WHEREAS, tids merger would create a larger enterprise with more resources - offering customers better electric service and a wider array of energy-related products at lower costs over thelong term; and WHEREAS, the combination of contiguous service areas will assist cormnurdty and state economic development efforts in attracting new jobs over a wider region of Ohio; and WHEREAS, a rate reduction plan has len filed with the Public Utilities Commission of Ohio which would greatly benefit Centeri4 cu.n+;mers with rate reductions commencing aRer the merger is approved.

NOW THEREFORE BE IT RESOLVED BY THE COUNCIL OF THE CITY OF FAIRVIEW PARK, COUNTY OF CUYAHOGA AND STATE OF OHIO:

4 SECTION 1. That the Council and the Administration of the city of Fairview Park hereby urges

! state and federal regulators to quickly approve the FirstEnergy merger so that Centerior Energy I customers and employees can begin to enjoy its benefits as soon as possible.

SECTION 2. That copies of the resolution be forwarded to Govemor George V. Voinovich, Ohio Consumers' Council Robert S. Tongren, members of the Federal Energy Regulatory

Commicsion members of the Nuclear . Regulatory Commission, members of the Public Utilities Commission of Ohio, State Representative Patrick Sweeney, and State Senator Dennis Kucinich.

SECTION 3. It is found and determined that all formal actions of this council concerning and relating to the adoption of this resolution were adopted in an open meeting of this council, and that all deliberations of this council and any ofits committees that resulted in such fomial action were in meetings open to the public in compliance with all legal requirements.

SECTION 4. That this resolution shall take effect and be in force from and after the earliest l period allowed by law.
