Dear Mr. O'Neill:

Pursuant to 10 CFR 50.80, you submitted an application by Central Power and Light Company (CPL) dated June 16,1998, under cover of your letter dated June 19,1998, and additional supporting material under cover of your letter dated June 23,1998, describing the proposed merger of CSW (the parent holding company of CPL) and AEP. The application requests the consent of the Nuclear Regulatory Commission f a allow the indirect transfer of control of CPL's interest in STP that will occur under the proposed merger of CSW and AEP. We are reviewing the information and have requested the Office of tne Federal Register to publish the enclosed notice.
