ORDER APPROVING APPLICATION REGARDING PROPOSED CORPORATE MERGER OF CENTRAL AND SOUTH WEST CORPORATION (CSW) AND AMERICAN ELECTRIC POWER COMPANY, INC. (AEP), SOUTH TEXAS PROJECT, UNITS 1 AND 2 (STP)(TAC NOS. MA2140 AND MA2141)

Dear Mr. O'Neill:

The enclosed Order is in response to an application by Central Power and Light Company (CPL) dated June 16,1998, submitted under cover of your letter dated June 19,1998, and supplemented with additional supporting material submitted under cover of your letter dated June 23,1998, describing the proposed merger of CSW (the parent holding company of CPL) and AEP. The application requests the consent of the Nuclear Regulatory Commission (NRC) under 10 CFR 50.80 to allow the indirect transfer of CPL's interest in STP to the extent that will occur under the proposed merger of CSW and AEP. The NRC staffs safety evaluation in support of the Order is also enclosed.

The Order is being forwarded to the Office of the Federal Register for publication.
