References (a) through (c) approved certain direct and indirect transfers of control of the above captioned licenses pursuant to 10 CFR 50.80 associated with the transfer of a 49.99% ownership interest in Constellation Energy Nuclear Group, LLC (CENG) to EDF Inc. (formerly EDF Development Inc.). EDF Inc. is a U.S. corporation organized under the laws of the State of Delaware and a wholly-owned POU55O wxtS

Document Control Desk April 15, 2011 Page 2 subsidiary of E.D.F. International SA, a limited company organized under the laws of France, which is in turn a wholly-owned subsidiary of Electricit6 de France SA, a French limited company.

It is expected that on May 2, 2011, the shareholders of E.D.F. International SA will authorize a change of corporate form of the company from a "soci&t6 anonyme" (SA) to a "soci&t6 par actions simplifi6e" (SAS),

which is another corporate form under French law. We expect the change of corporate form to be effected shortly thereafter, and this conversion will occur by operation of law. The same legal entity will continue to exist both before and after the change of corporate form, except that it will have the new corporate "SAS" form rather than the "SA" form, and it will be named "E.D.F. International SAS." Thus, this change does not involve any direct or indirect transfer of control of any license, which would require approval pursuant to 10 CFR 50.80. The same legal entity will continue to own EDF Inc., which will continue to hold the 49.99% ownership interest in CENG both before and after the change of corporate form. Confirmation of the 6hange of corporate form will be provided once it is effective.
