Reference is made to (a) my letters dated April 3, 1987 and March 30, 1987, in which I indicated that Public Service Company of New Mexico (HPNMH) was proposing to enter into amendments to various Facility Leases executed in connection with sale and leaseback transactions previously consummated by PNM with respect to its interests in Palo Verde Nuclear Generating Station (HPVNGSH) Units 1 and 2, (b) my letter dated August 12, 1987 in which I indicated that Beneficial Leasing Group, Inc. (HBeneficialH) proposed to transfer its interest in a Unit 2 sale and leaseback transaction to MFS Leasing Corp.,

which is already the owner participant with respect to sale and leaseback transactions involving both Unit 1 and Unit 2, and (c) my letter dated January 6, 1988 in which I indicated that Chase Manhattan Realty Leasing Corporation (HChase") had transferred its interests in two (2) Unit 1 and one (1) Unit 2 sale and leaseback transactions to separate affiliated corporations effective December 31, 1987. Copies of the referenced letters are enclosed herewith for convenient reference.
