ANSWERS AND OBJECTIONS OF SQUIRE, SANDERS AND DEMPSEY TO INTERROCATORIES PROPOUNDED TO IT BY THE CITY OF CLEVELAND

1. Identify all files of SS&D originating in the period January 1, 1965, to the present, pertaining to the issuance of notes and bonds or other debts instruments for the City of Cleveland, including the Division of Light and Power.

ANSWER: A list of the files requested by this interrogatory are in the process of preparation. It is anticipated that the list will be com-pleted and mailed to counsel for the City on or about Wednesday, August 18, 1976.

2. Identify all files of SS&D originating in the period January 1, 1965, to the present, pertaining to legal work other than that already identified in Question 1 for the City of Cleveland by SS&D.

ANSWER: A list of the files requested by this interrogatory are in the process of preparation. It is anticipated that the list will be com-pleted and mailed to counsel for the City on or about Wednesday, August 18, 1976.

3. Identify all files of SS&D originating in the period January 1, 1965, to the present, referring to (A) City of Cleveland Municipal Electric Light Plant.

(B) City of Cleveland Division of Light and Power.

(C) City of Cleveland Department of Public Utilities.

(D) Utilities Committee of Cleveland City Council.

(E) Muny Light.

(F) MELP Rates.

(C) City of Cleveland Ordinance No. 2104-72.

(H) Any City of Cleveland Director of Finance, Director of Public Utilities, Director of Law, Assistant Director of Law, Commis-sioner of Light and Power.

(1) Engineer, consultant, auditor, accountant, connected with HELP.

(J) Any equipment or facilities owned or operated by MELP.

OBJECTION: SS&D objects to this interrogatory. It is burdensome and oppressive. It demands tliat SS&D examine every file in its office back through 1965 to determine whether anyone of them refers to anyone of the ten categories or nine sub-categories specified in the interrogatory. If not literally impossible to accomplish, the interrogatory imposes a burden that is clearly unconscionable. Moreover, it fails to demonstrate relevance to the issue before the Board or to limit the scope of its demand with some rensonable particularity. In addition, these client's files are privileged from discovery.

4. Identify all financial documents originating from the City of Cleveland in the period January 1, 1965, to the present, to which SS&D ,

has referred in performing legal services for the City of Cleveland.

ANSWER: All of the financial documents requested by this interrogatur; will be contained in the files identified in SS&D's response to Interroga-tory 1. In addition, the Little Hoover Commission Report is included in this category of documents.

5. Identify all financial documents concerning the City of Cleveland originating from sources other than the City of Cleveland to which SS&D has referred in the period January 1, 1965, to the present, in performing legal services for the City of Cleveland.

6. Identify _all memoranda or opinions prepared by SS&D for CEI re-lating in any way to the City of Cleveland, Division of Light and Power and/or MELP, in the period January 1,1965, to the present.

OBJECTION: The memoranda and opinions prepared by SS&D for CEI are privileged. SS&D is not authorized to waive the privilege. CEI's privilege has been repeatedly upheld by the NRC and the Federal District Court.

Identify each and every document as to which privilege is claimed and further state the basis of the claim of privilege in each case.

ANSWER: See answer to Interrogatory 6.

8.

Identify each document upon which SS&D intends to rely in the pre-sentation of its case or for purposes of cross examination at the evidentiary hearing before the Special Board of the N.R.C.

ANSWER:

SS&D will rely in the presentation of its case or for purposes of cross examination at the evidentiary hearing before the Special Board of the NRC on the exhibits identified in the attached Exhibit List. SSLD does not by this response, however, intend to preclude itself from offering such additional exhibits as may, in its judgment, be required properly to pre-sent its defense.

Name each witness Sh&D intends to call at the evidentiary hearing before the Special Board of the N.R.C.

SS&D does not by this response, however, intend to preclude itself froa.

presenting such additional witnesses as may, in its judgment, be required properly to present its defense.

10. Identify each document originating from.SS&D and directed to the City in the period January 1,1965, to the present, which SS&D claims served to disclose to the City its potential conflict of interest in repre-senting both the City and CEI.

ANSWER: The City knew of the potential conflict of interest at all times material to the City's Motion for Disqualification. SS&D has never claimed that a specific document or documents originating with it served to disclose this knowledge. However, falling generally within the category requested is the Hollington letter of July 24, 1972. Although technically originating with the City, its actual origination is from a specific request of SS6D. It will be relied on by SS&D as part of the evidence establishing the City's knowledge of the potential conflict of interest.
