narrisan has voluntarily relinguished his duties.

The Company also announced that, at a special meeting Sept. 14, its Board of Directors elected tweeutiva Vice president and Chief Operating Officer Joh C. Duf fett to succeed Matrison as president and chist ex'Jutive officer. The Board also elected leerd seaber Willise J. Scharf fenberger as chairman, a position which had been unfilled.

Harrison has a history of cardiac disorders, taciuding two coronary by-pass operations. He vos recently advised by his physicians, subscquent to an exercise tolerance test, to immediately cesse his professional activities. Karrison is eitstble for the company'a genersi esployee disability benefits progras.

O scharffenberger added that, while Harrison's departure was unfortunar.., the Board anticipated that completion of the company's plan for reorganising under Chapter 11 would still be achievable in a timely fashion. "We expect a smooth transition,"

he said, "and maabers of the Board's Bank:uptcy Committee will continue to be actively involved in overseeing t,his process."

Du f f e c t , 60, is a native'of Concord, N.H., and holds a bachelor's degree f rom the University of New Hampshire. He joined PSNH in 1954, held several positions in the company's operating divisione, and became a vice president of the company in 1978.

He was elected senior vice president in 1982 and was elected to the Board in 1984. He was named executive vice president and chief operating officer in 1986.

Scharffenberger, 67, is president, chief executive officer and a director of Wheeling-Pittsburgh Steel Corp. He has extensive experience in corporate reorganisations, and served as president and chief executive officer and a director of Scxon Induatries, Inc. He is a director o,f Alco Standard Corporation, Valley Forge, Pa., and Allegheny International, Inc., Pittsburgh. He is also a trustee t ', director of Magnavox Government and Industrial Electronics Co., a wholly owned subsidiary of Horth American Philips Corp.

Harrison joined PSNK in 1957 and served in a number of positions in the fields of rates, econo.ics and finance. In 1971 he was elected assistand to the president. In 1973 he became vice president and in 1377 he received the additional title of treasurer. In 1978 he was elected fincncial vice president. He was elected PSNH's president and chief operating of ficer 1981 and became president sud chief execuc19e officer ir.1983..
