Dear Mr. Lashley,

By letter L-11-236 dated July 26, 2011 (Agencywide Documents Access and Manage ement System Accession No. ML11215A13 31), FirstEnergy Nuclear Operating Company (FE ENOC, the licensee) submitted a notice regarding limited liability conversion (LLC) and request ffor threshold determination under Title 10 of the Code of Federal Regulation (CFR), Secction 50.80.

Specifically, FENOC requested the U.S. U Nuclear Regulatory Commission (NRC) makke a threshold determination that the proposed conversion from a corporation to a LLC co ompany does not involve any direct or indirec ct transfer of control of any NRC license that requ uires prior NRC written consent pursuant to 10 CFR 50.80.

The purpose of this e-mail is to prov vide the results of the NRC staffs acceptance revview of this application. The acceptance review w was performed to determine if there is sufficient technical information in scope and depth to allow the NRC staff to complete its detailed techniccal review.

The acceptance review is also intended to identify whether the application has any re eadily

apparent information insufficiencies in its characterization of the regulatory requireme ents or the licensing basis of the plant.

The NRC staff has reviewed your ap pplication and concluded that it does provide tech hnical information in sufficient detail to enaable the NRC staff to proceed with its detailed tecchnical review and make an independent as ssessment regarding the acceptability of the prop posed application in terms of regulatory req quirements and the protection of public health and safety and the environment. If additional in nformation is needed for the NRC staff to comple ete its technical review, you will be advised d by separate correspondence.
