Corporate Merger of Decommissioning Trustee We are writing to respond to questions posed by the NRC Staff in a telephone conference on December 20, 2007 regarding the impending corporate merger of the trustee under the decommissioning trust agreements (NDTs) for the above-referenced licensees.

The above-referenced licensees advised the NRC of the merger of Mellon Trust of Delaware, N.A., the existing NDT trustee, into The Bank of New York (Delaware) by letter L-2007-207 dated December 18, 2007.1. Clarify whether a new trustee is being created by the merger of Mellon Trust of Delaware, N.A. into The Bank of New York (Delaware).

Response:

No new trustee is being created by the merger of Mellon Trust of Delaware, N.A., into The Bank of New York (Delaware).

As illustrated in the enclosed corporate diagram, there are currently two Delaware entities that are subsidiaries of the ultimate parent company, The Bank of New York Mellon Corporation

-- Mellon Trust of Delaware, N.A., the current trustee for the NDTs, and The Bank of New York (Delaware).

Mellon Trust of Delaware, N.A., is merging into an existing entity called The Bank of New York (Delaware).

Immediately after the merger the name of this company will be changed to BNYM (Delaware).
