IT IS ORDERED, that the application-declaration, as amended, be, and it'hereby is, granted and permitted to become effective forthwith, througa May 14, 1989, only with regard tet (1) EUA Power's = M ange of Series A Notes for series B Notes and the issuance of CICs and Series C Notes for the interest due dates of May 15, 1988 and November 15, 1988; (2) EUA Power's isruance and sale, and EUA's acquisition, of Additional Preferred Stock not to

exceed the lesser of (a) $16.5 million or (b) the sum of (i) the minimum amount required from time-to-time through May 14, 1989 to maintain the equity component of EUA Power's total capitalization at no less than 20% of such capitalization and (iii) such further amount, if any, as shall be required by EUA Power to meet its commitments to Seabrook during such period, its expenses    ,
associated with the Exchange offer, and other necessary expense arising in the ordinary course of its business; and'(3) EUA's issuance and sale of up to $16.5 million of Notes under its bank lines of credit in an amount not to exceed the amount of Additional Preferred Stock permitted at the time to have been purchased by EUA in accordance with clause (2) above; subject to reservations of jurisdiction as stated. herein, and subject to the terms and conditions prescribed in Rule 24 under the Act; IT IS FURTHER ORDERED, that jurisdiction be, and it hereby is reserved, after May 14, 1989 over: (1) EUA Power's issuance of Series B Notes in exchange for Series A Notes, and issuances of CICs, Series C Notes and Additional Preferred Stock; (2) EUA's acquisition of Additional Preferred Stock, and (3) EUA's issuance and sale of Notes; IT IS FURTHER ORDERED, that jurisdiction be, and it hereby is, reserved over the fees and expenses associated Jith the proposed transactions, pending completion of the record; and G
