SAN ONOFRE NUCLEAR GENERATING STATION, UNITS 2 AND 3 -

ISSUANCE OF AMENDMENTS RE: THE TRANSFER OF LICENSES PERMITTING THE TRANSFER OF THE UNDIVIDED OWNERSHIP INTEREST HELD BY THE CITY OF ANAHEIM TO SOUTHERN CALIFORNIA EDISON COMPANY, EXCLUDING ITS INTEREST IN SPENT FUEL AND IN THE INDEPENDENT SPENT FUEL STORAGE INSTALLATION (TAC NOS. MD0345 AND MD0346)

Dear Mr. Rosenblum:

By Order dated September 27, 2006, the Nuclear Regulatory Commission (NRC) approved the transfer of Facility Operating Licenses No. NPF-10 and NPF-15 for the San Onofre Steam Generating Station, Units 2 and 3 (SONGS 2 and 3) respectively, to the extent held by the City of Anaheim (Anaheim) to Southern California Edison Company (SCE). The Order excludes Anaheim's interest in its spent fuel and in the SONGS 2 and 3 independent spent fuel storage installation (ISFSI), which will be retained by Anaheim. SCE will retain exclusive responsibility and control over the operation of SONGS 2 and 3. Thus, the transfer does not involve any transfer or change in operating authority. The Order was published in the Federal Register on October 5, 2006 (71 FR 58881).

By letters dated December 21 and 22, 2006, SCE notified the NRC that all required regulatory approvals of the transfer have been received and the closing of the transfer would occur on December 29, 2006. SCE's letters dated December 21 and 22, 2006, letter satisfy the required conditions of the Order.

R. Rosenblum The Commission has issued the enclosed Amendment No. 209 to Facility Operating License No. NPF-10 and Amendment No. 201 to Facility Operating License No. NPF-15 for SONGS 2 and 3, respectively. This conforming amendment reflects the transfer of the license and includes any changes made to the license pages by amendments issued subsequent to December 2, 2005. The safety evaluation supporting the conforming amendment was attached to the above mentioned Order, issued on September 27, 2006.

The Notice of Issuance will be included in the Commission's biweekly Federal Register notice.

Sincerely,

/RA/
