AFFIDAVIT James W Cook, being first duly sworn upon oath, deposes and states as follows:

1. I am, and since October of 1980 have been, Vice-President of Projects, Engineering and Construction for Consumers Power Company.

2. On November 24, 1982 I met, in my capacity as an official of Consumers, i

with Mr Gerald Charnoff, an attorney, and certain executives of Bechtel Power Corporation.

3. The purpose of the meeting was to seek Mr Charnoff's legal advice in i

connection with obtaining NRC operating licenses for Consumers' Midland l

l Plant.
