AFFIDAVIT OF JAMES W COOK I, James W Cook, being first duly sworn, hereby depose and say as follows.

1.

I am Vice President, Projects, Engineering and Construction of Consumers Power Company ("the Company"). My area of responsibility includes the future utilization and/or disposition of the Midland Plant site.

2.

The Conpany has performed studies which have shown that the most advantageous disposition of the Midland Plant is to convert it to a combined-cycle gas fired power plant. On April 8, 1986 the Company's Board of Directors authorized the conversion of Unit 1.

The Company is planning to proceed with such a conversion, but a decision to go forward with the conversion project is contingent upon the Michigan Public Service Commission ("MPSC") granting relief from a certain condition in an MPSC rate order governing use of funds for construction at Midland.

The Company is formally seeking the required approvals but no decision has been rendered.

The Midland plant never reached the state of being operable as a nuclear power facility. No nuclear fuel was ever received on site. At project shutdown in 1984, the plant was approximately 85% complete. As a result the remaining 15%, including completion of piping, control cable, and other systems, would have been necessary for operation of the nuclear steam supply system ("NSSS").

In addition, a steam generator feedwater header modification was in process and the pressure boundary remains breached. All four steam generators lack auxiliary feedwater lines and some still have holes in the shells. Without pressure boundary integrity, the NSSS cannot be operated.

In addition, the Company plans to sell as much of the nuclear related l

equipment as possible.

Specifically, the Company has offered for sale J

all NSSS and associated nuclear equipment from both units. The Company is also making available for sale many other items of both nuclear and non-nuclear components. Sale of such equipment will assure the continued inoperability of Midland as a nuclear generating facility.

The control rods for the Midland reactors are not on site and have been i

substantially disposed of. Approximately one half of the rods have been sold. Babcock and Wilcox has been authorized to salvage the remainder for metal content.

Completion of the proposed gas conversion option will result in continued use of the site for a generating station and in use of many of the existing facilities. Attachment A to this Affidavit is a copy of the i

l most recent revision to FSAR Figure 1.2-1 showing the current layout of the plant site. Attachment B to this Affidavit is a copy of Figure 10 of the April 1986 Midland Options Study shoring the proposed site arrange-ment for the gas combined-cycle facility. The two drawings are to the same scale.

It can be seen that the principal changes are in the southwest quadrant, where most of the new equipment will be installed. All of the existing site facilities will be lef t in place except for the project l

field office, change house, welders test shop, security access control building, and the support services building. These buildings must be f

removed to accommodate construction of new facilities.

All electric transmission and related facilities are planned to be utilized with the proposed gas fired plant.

The Company intends to utilize the cooling pond and associated structures and components as part of the gas fired facility. The cooling pond has i

been drained as an interim measure. Drainage and runoff control measures j

for the cooling pond were conducted under supervision of the Michigan I

Department of Natural Resources (DNR). The pond is being maintained l

under a program approved by the DNR. The DNR has inspected the Company's implementation of the program and f ound it acceptable. The Company's NPDES Permit No. MI0042668 remains in effect.

Proceeding with the gas conversion plans requires that an Environmental l

Report be submitted to the Economic Regulatory Administration of the l

United States Department of Energy as part of the petition for exemption from the Fuel Use Act of 1978.

In addition, the State of Michigan must be satisfied in terms of compliance with any state permits applicable to i

the construction and operation of a combined-cycle gas fired plant.

10. Af ter the construction shutdown in 1984 the Company undertook certain site stabilization actions in addition to the cooling pond drainage and maintenance actions described above. These consisted principally of filling open excavation trenches, improving site drainage, seeding certain areas, and the like.

It is not contemplated at this time that further actions will be necessary for the environmental protection of the site in view of the contemplated continued use for an electric generating station.
