Dear Mr. Leidich:

By letter to the Nuclear Regulatory Commission (NRC) dated May 30, 2006, FirstEnergyNuclear Operating Company (FENOC) submitted an affidavit dated May 30, 2006, executed byyou. In the affidavit you requested that the information contained in the following documents bewithheld from public disclosure pursuant to Title 10 of the Code of Federal Regulations(10 CFR), Part 2, Section 2.390:The proprietary versions of Exhibits A and B to FENOC letter L-06-071 datedMay 30, 2006, containing certain financial pro forma statements related toanticipated revenues from sales of energy and capacity from Beaver Valley Power Station, Units 1 & 2, Davis-Besse Nuclear Power Station, Unit No. 1, and Perry Nuclear Power Plant, Unit No. 1; and confidential information regarding anticipated assets, liabilities and capital structure at the time of transfer.Nonproprietary copies of these documents have been placed in the NRC's Public DocumentRoom and added to the Agencywide Documents Access and Management System Public Electronic Reading Room.The affidavit stated that the submitted information should be considered exempt frommandatory public disclosure for the following reasons: a.This information is and has been held in confidence by FENOC and itsaffiliates.b.The information is of a type that is held in confidence by FENOC and itsaffiliates, and there is a rational basis for doing so because the informationcontains sensitive financial competitive information concerning FENOC's affiliates' anticipated revenues and operating expenses.

Therefore, the versions of the submitted information marked as proprietary will be withheld frompublic disclosure pursuant to 10 CFR 2.390(b)(5) and Section 103(b) of the Atomic Energy Act of 1954, as amended.Withholding from public inspection shall not affect the right, if any, of persons properly anddirectly concerned to inspect the documents. If the need arises, we may send copies of this information to our consultants working in this area. We will, of course, ensure that the consultants have signed the appropriate agreements for handling proprietary information.If the basis for withholding this information from public inspection should change in the futuresuch that the information could then be made available for public inspection, you should promptly notify the NRC.
