Dominion Energy Kewaunee, Inc. ("Dominion Energy Kewaunee") and Nuclear Management Company, LLC ("NMC"), with NMC acting on behalf of Wisconsin Public Service Corporation ("WPSC") and Wisconsin Power and Light Company (uWPL"),

applied for NRC's consent and a conforming license amendment to transfer the facility operating license for the Kewaunee Nuclear Power Plant ("Kewaunee") to Dominion Energy Kewaunee. (Reference 1) The NRC approved the license transfer, subject to certain conditions, in an Order dated June 10, 2004 (Reference 2). In Condition (1) of the Order, the NRC stated that "If the transfer is not completed by June 30, 2005, this A0

U.S. Nuclear Regulatory Commission May 04, 2005 Page 2 Order shall become null and void, with the provision that, upon written application and for good cause shown, such date may be extended."

Basis for Request for Extension of the NRC Order Kewaunee is currently in an extended unit shutdown to address certain design issues that were recently identified. Based on the current asset sales agreement between the Owners and Dominion Energy Kewaunee, the license transfer will not occur until the unit has been returned to full power operation. The present schedule for addressing the plant design issues, returning the unit to full power operation and completing the license transfer indicates that all of these items will be accomplished prior to June 30, 2005. However, Dominion Energy Kewaunee and NMC consider it prudent to request an extension of the Order approving the license transfer at this time to provide the NRC with sufficient time to process an extension request should unforeseen circumstances arise that could necessitate such an extension. Therefore, to provide regulatory margin, Dominion Energy Kewaunee and NMC request an extension of the NRC Order until December 31, 2005 to permit completion of the Kewaunee license transfer.

No conditions under which the NRC Order was granted have been significantly changed or detrimentally affected since the Order was issued. However, it should be noted that in connection with the approval of the sale of Kewaunee by the Public Service Commission of Wisconsin, Dominion Energy Kewaunee committed to certain conditions. Dominion Energy Kewaunee and NMC advised the NRC of these conditions by letter dated April 26, 2005 (Serial No. NRC-05-051).

The only other relevant change that has occurred since the NRC granted the Order was the change in the Site Vice President position. The NRC was previously notified of this change by letter from Dominion Energy Kewaunee and NMC dated April 26, 2005 (Serial No. NRC-05-052).

Therefore, based on the information provided above, Dominion Energy Kewaunee and NMC request an extension of the NRC Order until December 31, 2005 to permit completion of the Kewaunee license transfer.
