(DEK) (collectively, the Applicants) submitted a license transfer application for the Kewaunee Power Station (KPS) (the LTA, Accession No. ML21131A141). The LTA states that Kewaunee Solutions, Inc. (KS), "will develop a Kewaunee Solutions QA program for the KPS which will be implemented at the time of the transfer of control. The Kewaunee Solutions QA program will comply with 10 CFR 50.54(a)."

Separately, by letter dated September 29, 2021, ES submitted the proposed KS Decommissioning Quality Assurance Program (DQAP) for NRC approval prior to implementation (Accession No. ML21277A246).

On October 18, 2021, the NRC acknowledged receipt of the DQAP submittal (Accession No. ML21288A557). By letter dated February 2, 2022, NRC provided a request for additional information (RAI)

(Accession No. ML22032A324) associated with the ES submittal, and ES provided a response to the RAI by letter dated February 25, 2022.

To facilitate completion of the NRC's review of the LTA while review of the submitted DQAP is in progress, the Applicants submitted a letter on February 16, 2022 (Accession No. ML22047A057) containing a commitment and proposed condition for NRC to use in its LTA approval Order. The commitment was as follows:

Serial No. 21-171C Docket Nos.: 50-305n2-64 Page 2 of 3 Prior to closing of the license transfer, Kewanee Solutions shall have in place an NRC-approved Decommissioning Quality Assurance Program (DQAP) for Kewaunee Power Station consistent with the Safety Evaluation Report approving the DQAP.

Subsequent discussions between the NRC staff and the Applicants concluded that this commitment will not seive its intended purpose to allow the NRC staff to complete review of the LTA while review of the DQAP is in progress. Therefore, the Applicants wish to withdraw the commitment made in the February 16, 2022 letter and replace it with the following new commitment and proposed condition for NRC to use in its LTA approval Order.

Upon closing of the transaction and transfer of the license, Kewaunee Solutions will assume authority and responsibility for implementation of the current NRC approved quality assurance program for Kewaunee Power Station. The current NRC approved quality assurance program is as described in Dominion Energy Topical Report DOM-QA-1, *oominion Energy Nuclear Facility Quality Assurance Program Description,U Revision 30 (Accession No. ML21168A339).

At the time of license transfer, Kewaunee Solutions does not anticipate any changes to DOM-QA-1 beyond conforming changes consistent with the license transfer. Any such changes will be made in accordance with 10 CFR 50.54(a). This requirement shall remain in effect until the Kewaunee Solutions Decommissioning Quality Assurance Program (DQAP) for Kewaunee Power Station is approved by NRC and implemented at the site.
