Kewaunee Power Station NRC License No. DPR-43 NRC Docket Nos. 50-305 & 72-64

On May 10, 2021, EnergySolutions, LLC (ES) and Dominion Energy Kewaunee, Inc. (DEK)

(collectively, the Applicants) submitted a license transfer application (LT A) for the Kewaunee Power Station (KPS) (Accession No. ML21131A141). The U.S. Nuclear Regulatory Commission (NRC) approved the transfer of License No. DPR-43 for the KPS by order dated March 31, 2022 (the Order, Accession No. ML22014A392). The NRC issued the Conforming License Amendment regarding indirect transfer of the License from Dominion Energy Kewaunee, Inc. to Kewaunee Solutions, Inc. on June 28, 2022 (Accession No. ML22160A526) and attached Amendment No. 11 to Indemnity Agreement No. B-53 (the Agreement, Accession No.

ML22160A527).

The purpose of this letter is to provide a signed copy of Amendment No. 11 to Indemnity Agreement No. B-53 as requested in the Conforming License Amendment regarding indirect transfer of the License from Dominion Energy Kewaunee, Inc. to Kewaunee Solutions, Inc., and serves as proof of Kewaunee Solutions' acceptance of the Agreement.

AMENDMENT TO INDEMNITY AGREEMENT NO. 8-53 AMENDMENT NO. 11

Effective Jvne..t.t/ 2022, Indemnity Agreement No. 8-53 between Dominion Energy Kewaunee, Inc. and the United States Nuclear Regulatory Commission, dated July 13, 1972, ~s amended, is hereby further amended as follows:

The name "Dominion Energy Kewaunee, Inc." is deleted wherever it appears in the indemnity agreement.

Item 1 of the Attachment to the indemnity agreement is moc;lified by adding:

Item 1 - Licensee(s) Kewaunee Solutions, Inc.

Address 121 West Trade Street, Suite 2700 Charlotte, NC 28202

In light of the above, Indemnity Agreement No. B-53 is between "Kewaunee Solutions, Inc." and the United States Nuclear Regulatory Commission.
