Order Approving the Transfer of the Facility Operating License from Nuclear Management Company, LLC, Wisconsin Public Service Corporation, and Wisconsin Power and Light Company to Dominion Energy Kewaunee, Inc.

2. Letter from L. N. Hartz of Dominion Energy Kewaunee and M. G. Gaffney of Nuclear Management Company, LLC, dated June 3, 2005 (Serial No.05-070), "Docket No. 50-305, Facility Operating License No. DPR-43, Kewaunee Nuclear Power Plant License Transfer, Notification of Transfer of Interest for Kewaunee Nuclear Power Plant" Pursuant to Section III(1) of the above referenced NRC Order (Reference 1) approving the transfer of the Kewaunee Nuclear Power Plant from Nuclear Management Company, LLC (NMC), Wisconsin Public Service Corporation, and Wisconsin Power and Light Company to Dominion Energy Kewaunee, Inc. (DEK), NMC and DEK provided notification to the Director, Office of Nuclear Reactor Regulation in a letter dated June 3, 2005 (Reference 2) that such transfer and closing were scheduled to occur on or about June 15, 2005. However, subsequent to the submittal of that letter, additional actions were identified that were required to be completed prior to closing

U.S. Nuclear Regulatory Commission July 1, 2005 Page 2 such that it was not possible to complete the transfer and closing by June 15, 2005 as previously anticipated. These actions have since been completed, and transfer and closing have been rescheduled to occur on July 5, 2005. Therefore, it is requested that the applicable conforming amendment for this transfer be issued by the NRC and made effective as of the date of the transfer. We will keep the NRC informed should any developments occur that could impact the schedule for closing the transfer.
