By application dated June 10, 2014 (Reference 1, hereinafter, the "Application"), 1 Entergy Operations, Inc. ("EO I") sought approval of a transaction that, among other things, combined the former licensees of River Bend Station Unit 1 and Waterford 3 Steam Electric Station into a single company, Entergy Louisiana, LLC ("ELL"), and established Entergy Utility Holding Company, LLC ("EUHC") as ELL's owner. By Order dated August 14, 2015 (Reference 2), the Nuclear Regulatory Commission ("NRC") approved the requested transaction.

CNRO 2019-0025 Page 2 of 3 As part of the transaction, and as described in the Application, EUHC issued voting preferred membership interests to third-party, unaffiliated investors. 2 The voting preferred membership interests possess 21 percent of the aggregate voting power of EUHC. Notice is hereby given to the NRC that EUHC has issued a new series of voting preferred membership interests to Entergy Utility Affiliates, LLC ("EUA"), an existing parent company of EUHC and a wholly-owned indirect subsidiary of Entergy Corporation, 3 that entitles EUA to vote with the other series of preferred membership interests of EUHC. The total voting power of all of the preferred membership interests, including EUA's interests, remains 21%, so the voting power of the third-party, unaffiliated investors who hold preferred membership interests has decreased and the aggregate voting power of Entergy Corporation and its affiliates has increased. EOI does not believe the issuance of these voting preferred membership interests to EUA involves a direct or indirect transfer of any licenses under 10 CFR 50.80.
