Dear Sir:

On September 1, 1976, New England Power Company (NEP) trans-ferred a 6.008% ownership Jhare of NEP Units 1 & 2 (the Unita) to Massachusetts Municipal Wholesale Electric Company (MMWEC). On December 1, 1978, NEP transferred a 0.435% ownership share of these Units to Maine Public Service Company (FTS). Under the Commission's cu-rent rules, an anti-trust review is required concerning MMWEC's and >T3's ownership of a share of the Units.

Both MMWEC & MPS underwent successful anti-trust review by the Department of Justice in connection with the Millstone Nuclear Power Station, Unit No. 3, NRC Docket No. 50-4 7.3 A . (See Department of Justice letter dated August 27, 1977). MMWEC then underwent affirma-tive anti-trust review in connection with the Pilgrim Nuclear Generat-ing Station, Unit No. 2. NRC Docket No. 50-4~,lA (see Department of Justice letter dated April 20, 1978). Most recently both MMWEC and MPS again received affirmative anti-trust resiew by the Department of Justice in connection with the Seabrook Nuclear Power Station, Units No. 1&2, NRC Docket Nos. 50-443A and 50-446A. (See Department of Justice letter dated December 19, 1978, and NRC notice with respect thereto. 43 F. R. 60355)

To facilitate the anti-trust review concerning MMWEC's owner-ship share of the Units, in accordance with 10 CFR 50.32 there ir specif~cally incorporated herein by reference Attachment 11 tc Amend-ment 39, dated May 15, 1978, to the Seabrook License Application-To facilitate the anti-trust review concerning MPS's ownership share of the Units, in accordance with 10 CFR 50.32 there i.s specifi-cally incorporated l'erein by reference Attachment 13 to Amendment 39, dated May 15, 1978, to the Seabrook License Application.

In addition, because they are no longer considering direct ownership of a share of the Units, the anti-trust information prr ously submitted by the Applicant on behalf of Burlington Electric i

Page 2 Department, Pascoag Fire District, Ashburnham Municipal Light Department, Boylston Municipal Light Department, Danvers Electric Department, Hingham Municipal Lighting Plant, Holden Munir.ipal Light Department, Holyoke Gas and Electric Department, Hudson Light and Power Department, Littleton Electric Light Department, Mansfield Municipal Electric Department, Marblehead Municipal Light Department, Middleborough Gas and Electric Department, Middleton Municipal Light Department, North Attleborough Electric Department, Paxton Municipal Light Department, Peabody Municipal Light Plant, Reading Municipal Light Board, Shrewsbury's Electric Light Plant, Templeton Municipal Lighting Plant- Wakefield Municipal Light Department, West Boylston Municipal Ligh ing Plant and Westfield Gas and Electric Light Depart-ment is hereby withdrawn.

Finally, on May 1, 1978, NEP trancferred an additional 3.13%

ownership ahare of the Units to Bangor Hydro-Electric Company (Bangor).

8angor received affirmative anti-trust review by the Department of Justice in connection with the Units. (See Department of Justice letter dated April 11, 1977.) To facilitate the anti-trust review cencerning Bangor's acquisition of an additional ownership share of the Units, there is specifically incorporated herein by reference the anti-trust informatior with respect to Bangor dated 3/25/76 which was previously filed in Docket STN 50-568 and STN 50-569.
