Good afternoon, I am checking to see if the State of Wisconsin has any comments on conforming amendment (Attachment 2 & 3 (Pages 143 to 154)), which was part of the Dominions license transfer submittal (Agencywide Documents Access and Management System (ADAMS) Accession No. ML21131A141). Please the note the conforming license amendment cannot be issued or perfected only if the sale goes through and the NRC approves the license transfer.

CONFORMING AMENDMENT ASSOCIATED WITH THE KPS LICESNE TRANSFER APPLICATION

Good evening Mr. Schmidt,

The U.S. Nuclear Regulatory Commission (NRC) is considering the issuance of an amendment approving the indirect transfer of control of the Kewaunee Power Station (KPS) license along with the general independent spent fuel storage installation (ISFSI) license from Dominion Nuclear Projects, Inc. (the licensee), to EnergySolutions, LLC (EnergySolutions) (the applicant). EnergySolutions would after an approved purchase of the site, implement an accelerated decommissioning for the KPS. The Commission will consider and, if appropriate, respond to comments regarding the license transfer application. The NRC staff plans to issue the conforming amendment for the KPS transfer at end of January 2022. If the State of Wisconsin has comments on the conforming amendment, please provide the comments by January 5, 2022.

In the referenced letter dated May 10, 2021 (Agencywide Documents Access and Management System (ADAMS) Accession No. ML21131A141), including proprietary financial information provided as Enclosure 1A, DOMINION ENERGY KEWAUNEE, INC.

KEWAUNEE POWER STATION APPLICATION FOR ORDER APPROVING TRANSFER OF CONTROL OF KPS LICENSE AND CONFORMING LICENSE AMENDMENTS, Dominion Energy Kewaunee, Inc. and EnergySolutions, requested the NRC consent to the proposed indirect transfer of control of Renewed Facility Operating License No. DPR-43 for KPS, and the general license for the Kewaunee ISFSI, from Dominion Nuclear Projects, Inc. (Dominion), the parent entity of the licensee, to EnergySolutions. Enclosure 1A of the application contains sensitive unclassified non-safeguards information (proprietary commercial and financial information) that is being withheld from public disclosure pursuant to Title 10 of the Code of Federal Regulations (10 CFR) 2.390.

According to the application, EnergySolutions would acquire 100 percent ownership of the licensee, the same legal entity would remain the Kewaunee licensee, but its name would change to Kewaunee Solutions, and Kewaunee Solutions would operate under new management and be directly and wholly owned by EnergySolutions as the licensed operator for decommissioning. No physical changes to Kewaunee are being proposed in the application. In addition, the licensee and applicant requested that the NRC approve a conforming amendment to the facility licenses to reflect this transfer from Dominion to EnergySolutions.

Dominion permanently ceased power operations at Kewaunee on May 7, 2013 (ADAMS Accession No. ML13128A361). By 2017, all the spent nuclear fuel was transferred to dry storage using the ISFSI (ADAMS Accession No. ML17276A327).

The proposed conforming license amendment would reflect the indirect license transfer from Dominion to EnergySolutions as the owner and the operator, should the NRC approve the license transfer request. The subject application is for approval of a transfer of a license issued by the NRC and an associated conforming amendment required to reflect the approval of the transfer. Accordingly, the actions involved meet the eligibility criteria for categorical exclusion set forth in 10 CFR 51.22(c)(21). Pursuant to 10 CFR 51.22(b), no environmental impact statement or environmental assessment need be prepared in connection with the approval of the transfer application and conforming license amendment.

NRCs review of the Kewaunee license transfer application is to determine the technical and financial qualifications of the applicant, EnergySolutions. The NRC recognizes the Wisconsin Public Service Commission (WSPC) is holding hearings on the commercial terms of the sale arrangement and is not a party to the proceedings but understands the outcome of the WPSC ruling may impact the sale and license transfer completion.
