COMANCHE PEAK STEAM ELECTRIC STATION REQUEST FOR AlfNDMENT OF CONSTRUCTION PERMITS CPPR-126 AND CPPR-127 DOCKET NOS. 50-445 AND 50-446

Dear Dr. Denton:

Texas Utilities Generating Company (TUGCO) is presently the holder of NRC Construct.on Permits Nos. CPPR-126 and -127 for the Comanche Peak Steam Electric Station, Units 1 and 2 (CPSES). By this application, TUGC0, on its own behalf and on behalf of the present co-owners, respectfully requests that the NRC amend said construction

, permits to reflect the revised ownership interests of Dallas Power &

Light Company (DPL), Texas Electric Service Company (TESCO) and Texas Power & Light Company (TPL) as those interests are hereafter stated.

The present ownership interests of the co-permittees are: Dallas Power & Light Company, 231/3%; Texas Power & Light Company, 331/3%;

Texas Electric Service Company, 331/3%; Texas Municipal Power Agency, 6.2%; and Brazos Electric Power Cooperative, Inc. , 3.8%. The Joint Ownership Agreement between DPL, TESCO and TPL has been amended to provide for transfer of ownership interests, upon NRC approval, aggregating 5% from DPL to TESCO and TPL, such that each acquires an additional 2.5% undivided interest as a tenant in common without right of partition. DPL's interest will thus be reduced to 18 1/3%, while the interests of TPL and TESCO will each be increased to 35 5/6%. No new parties will be added as owners by this transaction, and entitlements to output will correspond to ownership shares. TUGC0 will retain exclusive responsibility for the design, construction, operation and maintenance of CPSES and will continue to act as agent for all owners in connection with all aspects of NRC licensing and regulation.

This transaction will be made in accordance with 10 C.F.R. 50.81 and 70.20, pending NRC approval. To provide for the contingency that NRC approval may not be obtained, the funds expected to be advanced at the time of closing will be advanced in consideration of promises to perfect ownership interests in accordance with 10 C.F.R. 50.80 upon NRC

O TXX-3130 April 28, 1980 approval, and in consideration of the other mutual promises in the agreement. Thus the transferor will convey, and the transferees will take, no present additional interest pending NRC approval, beyond that security title which is permitted under general license by NRC regulations (10 C.F.R. 50.81 and 10 C.F.R. 70.20).

Since the requested amendments of the c(nstruction permits involve no significant hazards considerations, it is requested that the NRC dispense with advance notice and publication requirements as permitted under Section 189(a) of the Atomic Energy Act of 1954, 42 U.S.C. 8 2239, and 10 C.F.R. 50.91.

Because the proposed amendments are pro forma, administrative in nature and have no safety or environmental significance we have detennined the amendment class should be class II ($1,200) for Unit 1 and class I ($400) for Unit 2. We have therefore enclosed a check for

$1,600 as payment of amendment fee.
