On October 26, 2007, Entergy Operations, Inc. (Entergy) received an Order from the U. S.

Nuclear Regulatory Commission (NRC) approving the proposed transfer of the River Bend Station, Unit 1 (RBS) facility operating license from Entergy Gulf States. Inc. (EGS) to Entergy Gulf States Louisiana, LLC (EGS-LA). The order contained three conditions which are addressed in the attachment to this letter.

There are no commitments in this letter.

RBG-46767 Page 1 of 1 Response to Conditions of Order Approving Transfer of License and Conforming Amendment The conditions included in the order related to the license transfer for River Bend Station, Unit 1 (RBS) and Entergy's responses are provided below.

Condition 1 At the time of the closing of the transfer of ownership of and the license for RBS from EGS to EGS-LA, the RBS decommissioning trust agreement(s) shall be amended to reflect EGS-LA as the owner of all the decommissioning trust funds accumulated as of the date of the closing.

Response I The trust agreements will be amended to reflect Entergy Gulf States Louisiana, LLC as the owner of all the decommissioning trust funds accumulated as of December .31, 2007.

Condition 2 Prior to completion of the transfer of ownership of and the transfer for RBS, EGS-LA shall provide the Director of the Office of Nuclear Reactor Regulation satisfactory documentary evidence that it has obtained the appropriate amount of insurance required of licensees under 10 CFR Part 140 of the Commission's regulations.

Response 2 provides documentation of Entergy's insurance which will be effective upon completion of the transfer.

Condition 3 IT IS FURTHER ORDERED that EOI shall inform the Director of the Office of Nuclear Reactor Regulation in writing of the date of closing of the transfer no later than 5 business days prior to such action.

Response 3 The date of closing for the transfer is December 31, 2007.

Dear Mr. Dinitz,

This letter confirms that American Nuclear Insurers will write nuclear liability insurance for Entergy Gulf States Louisiana, LLC (EGSL), and insuring the River Bend Steam Electric Generating Station in West Feliciana Parish, Louisiana. The insurance will coincide with the formation of EGSL on or about December 31, 2007. The insurance is purchased to satisfy the requirements for financial protection as set forth in Section 170 of the Atomic Energy Act of 1954, as amended, and in 10 CFR Part 140.

Effective with the formation of EGSL, the insurance policy and certificates fbr the River Bend Steam Electric Generating Station, currently issued to Entergy Gulf States, Inc. and Entergy Operations, Inc., will be amended as follows.

" Under Facility Form Policy No. NF-0286, the Named Insureds will be changed to Entergy Gulf States Louisiana, LLC and Entergy Operations, Inc.

  • Under Facility Worker Form Certificate No. NW-0641, the Named Insureds will be changed to Entergy Gulf States Louisiana, LLC and Entergy Operations, Inc.
  • Under Secondary Financial Protection Certificate No. N-0100, the Named Insureds will be changed to Entergy Gulf States Louisiana, LLC and Entergy Operations, Inc. Entergy Gulf States Louisiana, LLC also will be added to the Bond for Payment of Retrospective Premiums.

If the formation of EGSL takes place after that date, we will review the circumstances before re-stating our willingness to provide insurance.
