Dear Sir or Madam:
By letter dated May 29, 2007, (Reference 1) Entergy Operations, Inc., requested approval of the proposed direct transfer of the River Bend Station Operating License and NRC Material License No. NPF-47 to Entergy Gulf States Louisiana, LLC from the current holder of the license, Entergy Gulf States, Inc.
As a result of the review of that application, the NRC staff determined that additional information was needed. By letter dated July 31, 2007 (Reference 2), NRC requested a written response to six questions.
On August 30, 2007, additional information was submitted (Reference 3) in response to the July 31, 2007 letter. You have requested clarification of the information submitted in response to Request No. 1 of Reference 2.
Additional Information - Proposed License Transfer and Confirming License Amendment RBG-46740 Page 2 of 3 A chart was submitted in response to Request No. 1 showing the corporate structure that will exist after the formation of EGS Holdings, Inc. (EGS Holdings), Entergy Texas, Inc. (ETI),
Entergy Gulf States Louisiana, LLC (EGS-LA), and the merger of Entergy Gulf States, Inc.
(EGS) into EGS. That chart depicts ETI as a direct subsidiary of Entergy Corporation.
On page 2 of the Application (Reference 1), it is stated: "In the third step, Entergy will form a new Texas corporation, EGS Holdings, Inc. ("EGS Holdings"), of which Entergy will own all the issued and outstanding shares of common stock. Entergy will contribute all its shares of ETI to EGS Holdings. At the end of this third step, Entergy will own EGS Holdings in its entirety, and EGS Holdings will own ETI in its entirety."
The reference to ETI in the text quoted above should have been to EGS rather than ETI.
The quoted language should read: "In the third step, Entergy will form a new Texas corporation, EGS Holdings, Inc. ("EGS Holdings"), of which Entergy will own all the issued and outstanding shares of common stock. Entergy will contribute all its shares of EGS to EGS Holdings. At the end of this third step, Entergy will own EGS Holdings in its entirety, and EGS Holdings will own EGS in its entirety."
The chart submitted in response to Request No. 1 correctly depicts that ETI will be a direct subsidiary of Entergy Corporation.
There are no technical changes proposed in this response that impact the proposed license amendment in the original application. There are no new commitments contained in this letter.
