Dear Sir or Madam:

In the letter referenced above, the NRC issued conforming license amendments for Comanche Peak Nuclear Power Plant (CPNPP) Units 1 and 2 with regard to the transfer of ownership interests and operating authority to Comanche Peak Power Company LLC and TEX Operations Company LLC. of the referenced letter contained original copies of Amendment No. 13 to Indemnity Agreement No. B-96 for CPNPP Units 1and2. The NRC requested a signed original copy of the agreement be returned to the NRC.

TEX Operations Company LLC hereby submits a signed original copy of Amendment No. 13 to Indemnity Agreement No. B-96 as requested in the Enclosure to this letter.

This communication contains no new licensing basis commitments regarding CPNPP Units 1 and 2.

UNITED STATES NUCLEAR REGULATORY COMMISSION WASHINGTON, D.C. 20555-0001 Docket Nos. 50-445 50-446 AMENDMENT TO INDEMNITY AGREEMENT NO. B-96 AMENDMENT NO. 13 Effective October 3, 2016, Indemnity Agreement No. B-96, between Texas Utilities Electric Company, Texas Municipal Power Agency and Luminant Generation Company LLC and the United States Nuclear Regulatory Commission, dated February 14, 1983, as amended, is hereby further amended as follows:

The names Texas Utilities Electric Company," "Texas Municipal Power Agency,"

"TXU Generation," "TXU Electric Company" and "Luminant Generation Company LLC" are deleted wherever they appear in the agreement and substituted in lieu thereof by the names:

"Comanche Peak Power Company LLC" and TEX Operations Company LLC" Item 1 of the Attachment to the indemnity agreement is modified by deleting it in its entirety and substituting in lieu thereof the following:

Item 1 - Licensees Comanche Peak Power Company LLC TEX Operations Company LLC Address 1601 Bryan Street Dallas, TX 75201

In light of the above and prior amendments, Indemnity Agreement No. B-96 is between "Comanche Peak Power Company LLC" and "TEX Operations Company LLC," and the United States Nuclear Regulatory Commission.
