Dear Professor Anghaie:

This letter is in reference to your August 29,'1985 letter expressing an interest in obtaining the most recently released version of the reactor analysis program TRAC-PFl/M001. The U.S. Nuclear Regulatory Commission (NRC) is happy to transmit to you a magnetic tape containing the code and a copy of the draft user's manual provided that Oregon State University

.(05U) agrees to the following.

1. OSU will not release the code software to any third party, unless that third party has also obtained an agreement with the NRC.
2. OSU will-immediately notify _ the NRC of any reactor safety problem which may be uncovered through the_ use of the code, as required by the standard Code of Federal Regulations.
3. .If OSU discovers code errors, OSU will communicate these errors to the code developers at the Los Alamos National Laboratory (LANL).
4. OSU will make the nonproprietary results of the code use available to the NRC.

!- 5. If OSU makes any nonproprietary improvement and/or modification to the code, these improvements and/or modifications will be made available to the NRC. Should code improvements and/or modifications 1 or the results of code use, be determined to be company proprietary, the NRC will utilize its procedures to protect such information, if

, it requests to receive it.

6. OSU will provide NRC with a nonproprietary sumary of any proprietary modifications to the code which are developed by OSU, including a sumary of the impact on representative predictions. i
7. If OSU requires LANL assistance to implement and/or use this sof tware, the assistance will be given on a cost recovery basis and 7 l will be negotiated in a separate agreement with the NRC.

(- .In interpreting e results of your analyses under Items 2 and 4 above, bear in mind that the -PFI/ MODI code has undergone developmental assessment, but the independent a ssment of the code has not yet been completed.
