Dear Dr. Thurgood:
This letter is in reference to your conversation with Mr. Jose N. Reyes, of my staff expressing an interest in obtaining the reactor analysis programs COBRA-TF and COBRA-TRAC. The U.S. Nuclear Regulatory Comission (NRC) will transmit to you magnetic tapes containing the codes and the appropriate user's manual provided that Numerical Applications, Inc. (NAI) agrees to the following.
1.
NAI will not release the code software to any third party, unless that third party has also obtained an agreement with the NRC.
NAI will imediately notify the NRC of any reactor safety problem 2..
which may be uncovered through the use of the codes, as required by the standard Code of Federal Regulations.
3.
If NAI discovers code errcrs, NAI will comunicate these errors to the code developers at the Pacific Northwest Laboratory (PNL).
4.
NAI will make the nonproprietary results of the code use available to the NRC.
5.
If NAI makes any nonproprietary improvement and/or modification to the code, these improvements and/or modifications will be made available to the NRC.
Should code improvements and/or modifications or the results of code use, be determined to be company proprietary, the NRC will utilize its procedures to protect such infomation, if it requests to receive it.
6.
NAI will provide NRC with a nonproprietary sumary of any proprietary modifications to the code which are developed by NAI, including a t
l sumary of the impact on representative predictions.
7.
If NAI requires PNL assistance to implement and/or use this software, the assistance will be given on a cost recovery basis and will be negotiated in a separate agreement with the NRC.

In interpreting the results of your analyses under Items 2 and 4 above, bear in mind that the COBRA-TF and COBRA-TRAC code have undergone developmental assess-ment, but the independent assessment of the code has not yet been completed.
We do not warrant the accuracy of the results for any particular use or appli-cation.
The signature below of an appropriate official of your company will indicate acceptance of these items.
If you accept these tenns, I will arrange for the transmittal of the tape and draft user's manual to the above address. Please feel free to contact Mr. Jose N. Reyes should you have any further questions.
