Savannah River Laboratory Aiken, South Carolina 29808-0001 Dear Dr. Pryor This letter is in reference to your conversation with Mr. Harry Tovmassian, of my staff expressing an interest in obtaining th'e most recently released version of the reactor analysis program TRAC-PF1/M001. The U. S. Nuclear Regulatory Comission (NRC) is happy to transmit to you a magnetic tape containing the code and a copy of the draft user's manual provided that Savannah River Laboratory (SRL) agrees to the following.

1. SRL will not release the code software to any third party, unless that third party has also obtained an agreement with the'NRC.
2. SRL will immediately notify the NRC of any reactor safety problem which may be uncovered through the use of the code, as required by the standard Code of Federal Regulations.
3. If SRL discovers code errors, SRL will comunicate these errors to the code developer at the Los Alamos National Laboratory (LANL).
4. SRL will make the nonproprietary results of the code use available to the NRC.
5. If SRL makes any nonproprietary improvement and/or modification to the code, these improvements and/or modifications will be made available to the NRC. Should code improvements and/or modifications or the results of code use, be detennined to be company proprietary, the NRC will utilize its procedures to protect such information to the extent allowed by law and Commission action, if it requests to receive it.
6. SRL will provide NRC with a nonproprietary summary of any proprietary modifications to the code which are developed by including a sumary of the impact on representative predictions.
7. If SRL requires LANL assistance to implement and/or use this software, the assistance will be given on a cost recovery basis and will be negotiated in a separate agreement with the NRC.

If you accept these terms, I will arrange for the transmittal of the tape and draft user's manual to the above address. Please feel free to contact Mr. Harry Tovmassian (301-423-4436) should you have any further questions.

It is understood that the recipient institution will pay shipping and handling charges for the tapes and manuals.
