Dear Professor Nassersharif:

Thank you for your March 6, letter expressing an interest in obtaining the most recently released version of the reactor analysis program TRAC-PFI/ MODI Code.

The U.S. Nuclear Regulatory Commission (NRC) is happy to transmit to you a magnetic tape containing the code and a copy of the draft user's manual provided that Texas A & M University (TAMU) agrees to the following.

1. TAMU will not release the code software to any third party, unless that third party has also obtained an agreement with the NRC.
2. TAMU will immediately notify the NRC of any reactor safety problem which may be uncovered through the use of the code, as required by the standard Code of Federal Regulations.
3. If TAMU discovers code errors, TAMU will communicate these errors to the code developers at the Los Alamos National Laboratory (LANL).
4. TAMU will make the nonproprietary results of the code use available to the NRC,
5. If TAMU makes any nonproprietary improvement and/or modification the code, i these improvements and/or modifications will be made available to the NRC.

i Should code improvements and/or modifications or the results of code use, i be determined to be company proprietary, the NRC will utilize its procedures to protect such information, if it requests to receive it.

6. TAMU will provide NRC with a nonproprietary summary of any proprietary modifications to the code which are developed by including a summary of the impact on representative predictions.
7. If TAMU requires LANL's assistance to implement and/or use this software, the assiste.nce will be given on a cost recovery basis and will be l negotiated in a separate agreement with the NRC.

In interpreting the results of your analyses under Items 2 and 4 above, bear in mind that the TRAC-PF1/ MODI code has not yet been completed. We do not warrant the accuracy of the results for any particular use or application.

The signature below of an appropriate official of you University will indicate acceptance of these items. If you accept these terms, I will arrange for the transmittal of the tape and draft user's manual to the above address. Please feel free to contact Mr. Harry Tovmassian (301) 427-4436, should you have any further questions.

It is understood that the recipient institution will pay a fee not to exceed

$300 for LANL's preparation costs and for shipping and handling charges for the tapes and manuals.
