MS M0484 HSTo Post Office Box 179 Denver, Colorado 80201 C ~vmassian JIR/F Dear Mr. Cullimore This letter is in reference to March 18, 1985 letter expressing an interest in obtaining the most recently released version of the reactor analysis program TRAC-PF1/ MODI. The U.S. Nuclear Regulatory Commission (NRC) is happy to transmit to you a magnetic tape containing.the code and a co user's manual provided that Martin Marietta Aerospace (MMA) py of to agrees thethe draft following.

1. MMA will not re. lease the code software to any third party, unless that third party has also obtained an agreement with the NRC.
2. MMA will immediately notify the NRC of any reactor safety problem which may be uncovered through the use of the code, as required by

,the standard Code of Federal Regulations.

3. If MMA discovers code errors, MMA will communicate these errors to the code developers at the Los Alamos National Laboratory (LANL).
4. MMA will make the nonproprietary results of the code use available to the NRC.
5. If MMA makes any nonproprietary improvement and/or modification to the code, these improvements and/or modifications will be made

'available to the NRC. Should code improvements and/or modifications or the results of code use, be determined to be company proprietary, the NRC will utilize its procedures to protect such information, if it requests to receive it.

6. MMA will provide NRC with a nonproprietary summary of any proprietary modifications to the code which are developed by MMA, including a summary of the impact on representative predictions.
7. If MMA requires LANL's assistance to implement and/or use this software, the assistance will be given on a cost recovery basis and will be negotiated in a separate agreement with the NRC.

In i reting the results of your analyses under Items 2 and 4 above, bear in mind that e TRAC-PFI/ MODI code has undergone developmental assessment, but the independe assessment of the code has not yet been completed. We do not warrant the accur of the results for any particular use or application.
