RESOLUTION NUMBER 96-R- 85 h -

1 A RESOLUTION SUPPORTING THE MERGER OF CENTERIOR ENERGY CORPORATION AND OHIO EDISON UNDER A NEW HOLDING COMPANY CALLED FIRSTENERGY. l l

WHEREAS, Centerior is a valued corporate citizen, employer and  !

taxoayer in Kirtland; and WHEREAS, the merger of Centerior Energy Corporation and Ohio -

Edison would create a $5 billion, Fortune 300 company; and WHEREAS, this new company would become the nation's lith largest investor-owned electric system; Ohio's largest single taxpayer, with $516 million in annual payments; and one of the state's top 20 employers; and WHEREAS, the merger would keep jobs in Ohio;. create a larger enterprise with more resources - of fering customers better electric service and a wider array of energy-related products; and 1 l

WHEREAS,.the combination of the contiguous service areas will further assist community and state economic development efforts in attracting jobs over a wider region of Ohio; and WHEREAS, a rate reduction plan has been filed with the Public Utilities Commission of Ohio which would greatly benefit Centerior customers with rate reductions commencing after the merger is approved.

NOW, THEREFORE, BE IT ORDAINED by the Council of the City of Kirtland, County of Lake and State of Ohio, that: l SECTION I That the Council of the City of Kirtland hereby urges state and federal regulators to quickly approve the FirstEnergy merger so that Centerior Energy customers and employees can begin to enjoy the benefits as soon as possible.

SECTION II: That copies of this Resolution be forwarded to Governor George V. Voinovich, Ohio Consumers' Counsel Robert S. Tongren,  !

members of the Federal Energy Regulatory Commission, members of the Nuclear Regulatory Commission, members of the Public Utilities Commission of Ohio and the appropriate members of the Ohio House and Senate.

SECTION III:

(a) It is found and determined that all formal actions of this Council concerning and relating to the passage of this Resolution were passed in an open meeting of this Council, and that all deliberations of this Council and of any of its committees that resulted in such formal l action were in meetings open to the public, in compliance with all legal '

requirements including Section 121.22 of the Ohio Revised Code. l (b) This Resolution is declared to be an emergency measure necessary for the immediate preservation of the public peace, health and

• safety of the City, and for the further reason to make timely application

with the County; wherefor, this Resolution shall be in full force and

, effect immediately upon its passage by the affirmative vote of five (5) .
