The Mid-Tex Generation & Transmission Association, Inc. is actively investigating the possibility of seeking alternate power supply opport-unities for our member-systems. We wo_uld_very_much like to have the 9P.P_o.r,tunity to discuss vi,t1,'y.ou 3 th_e_ppssibility_of_ purchasing _m portion of our_ future power supply requirements from you. -

Mid-Tex G&T is made up of twelve ' distribution cooperatives. Table 1 attached shows. the twelve member-systems. Table 2 shows the power suppliers serving each of the member-systems. At the present ti=e, a major portion of our power supply requirements are satisfied by pur-chases from West Texas Utilities. The'1978 maximum demand for the WTU portion of our power supply totalled 124,000 kW. Our projected demands for the KTU portion of our system are shown on Table 3. At the present time, the member-systems receive service at approximately 110 different points of delivery on the WTU system. It is the UTU portion of our power supply purchases that we are seeking to supplement.

We would like to discuss with you the following power supply alterna-tives:

1. The scheduled energy would be approximately 150,000 MWh to 160,000 MWh per year.

1. Would you be willing to enter into an agreement whereby unit or firm capacity and high load factor energy would be made available to Mid-Tex?
2. What is the' approximate cost for such capacity and energy?
3. What will be the approximate costs for transmission wheeling, if applicable?
4. What are the specific terms and conditions that would have to be applicable to the transaction?
5. What other amounts of capacity and energy, either greater than or less than the amounts suggested, would be applicable?
6. What other types of transactions might be considered other than -

the unit or firm sales suggested. . -

Dear Mr. Nash:

This is in answer to your letter of February 12, 1980 asking for a meeting with representatives of Texas Electric to explore the possibility of purchase power or a joint venture in a new generating unit.

As far as purchase power is concerned, we have a wholesale rate, and if Denton wants to explore a purchase under this rate, we can arrange for the right people to be available. Such a purchase would require Denton making arrangements to accept power at a point of delivery within our certified service area and might require a contribution in aid of construction, depending on the amount of anticipated revenue compared to the cost of facilities required to serve.

As to exploring a joint venture in a new generating unit, all our planned future generating units are to be jointly owned with the other operating companies of the TU system. Mr. Mike Spence of Texas Power & Light Company has been designated to handle such matters in these joint ventures and we ask that you direct the request for future joint ownership discussions to Mr. Spence.

We would be interested in working with you and your con-sultants in this endeavor. For this purpose, I am designating Mr. Mike Spence, a Vice President of Texas Power & Light Co.,

to meet with your representatives to explore these possibilities.

Mike is familiar with generation planning of the Texas Utilities Company system and will work directly with the three operating companies in developing plans and information that may be of interest to you.

Your February 12 letter to Texas Power & Light Co. suggests an interest on the part of the City of Denten in considering the economic viability of possibly selling the city's electrical system and offering an operating franchise to a private utility.

While we are not seeking to purchase your facilities, I have asked Mr. Joe Nelson, TP&L Vice President of Customer and Public Service, to discuss this issue with your representatives.
