.. 4 The licensees propose that the applicatio'n'be considered in two parts.

The first part will deal with a technical amendment which reflects transfer of control and operational responsibilities from MP&L to SERI. The second part will' deal with consideration of the antitrust conditions presently embodied in the construction permit. 'Accordingly, the Commission proposes to proceed with approval of transfer of control to SERI but to continue to hold MP&L and SERI to the tems of the existing antitrust conditions pending completion of review of the antitrust considerations of this transfer and related amendment.

Pursuant to 10 CFR 50.80 the Commission may approve the transfer of control of a license, after notice to interested persons, upon.the Comission's

' - determination that the holder of the license following the transfer of control is qualified to have the control of the license and the transfer of control Lis otherwise consistent with applicable law, regulations and orders of the Comission.
