This letter provides documentation of completion of the third condition regarding insuranterequired according to 10 CFR 140.The attached letter from American Nuclear :nsurers-(ANI) commits to provide the appropriate amount of offsite liability insurance required of a licensee under 10 CFR Part 140 of the Commission's regulations and consistent with the exemptions issued to Zion on December 21, 1999 (Reference 2). The ANIleltter indicates their agreement to transfer the applicable offsite liability insurance from Exelon Generation Company, LLC to Zion Solutions, LLC coincidental with'the transfer of Zion Station to Zion Solutions.

American Nuclear Insurers agrees to transfer the Zion Station Facility Form policy and Facility Worker Form certificate, NF-0201 and NW-0584 respectively, from Exelon Generation Company, LLC to ZionSolutions, LLC. The transfer will coincide with the transfer of Zion Station to ZionSolutions, LLC. Respective limits of liability are $100 million under NF-0201 and $375 million under NW-0584. The latter limit is an industry aggregate limit that applies to all participating nuclear facilities in the U.S.We await Exelon's advice about the closing date.
