By letter dated July 11, 2014 (Reference 1), PPL Susquehanna, LLC (PPL Susquehanna) submitted an Application for Approval of Indirect Transfer of Control of the Licenses for the Susquehanna Steam Electric Station, Units 1 and 2 in accordance with Section 184 of the Atomic Energy Act of 1954, 10 CFR § 50.80, and 10 CFR § 72.50.

The purpose of this letter is to clarify a statement in PPL Susquehanna's Application, and to update a previous RAI response (Reference 2).

PPL Susquehanna's Application contained the following statement in Attachment 8:

"7.

Both Tal en Energy and Tal en Holdings will before closing adopt resolutions to the effect that neither their officers nor Boards of Directors, acting as such, shall seek access to any classified information and/or special nuclear material in the custody of PPL Susquehanna."

PPL Susquehanna has drafted such resolutions, but prefers to adopt them when the Talen Board of Directors as described in Reference 3 has its first meeting immediately after Document Control Desk PLA-7301 closing to take actions as the Board of the new ultimate parent. Accordingly, we propose to modify the above wording as follows:

"7.

Both Talen Energy and Talen Holdings will promptly after closing adopt resolutions to the effect that neither their officers nor Boards of Directors, acting as such, shall seek access to any classified information and/or special nuclear material in the custody of PPL Susquehanna."

Additionally, in Reference 2, in response to RAI 2, tables of intermediate controlling entities in the Riverstone organization were provided. Riverstone has notified us that a vacancy on the Managing Committee for C/R Energy GP III, LLC has been filled by N. John Lancaster, who is a U.S. citizen.
