I I EXHIBIT A WILMINGTON AREA 2005 LOCATION AND DESCRIPTION OF WORK Reclear all of the wooded sections of the right-of-way of the following lines as described in the detail descriptions:

118 Sutton - Wallace 230kV Line 481 70 551 TOTAL 2,128 201 2,329 The above are estimated acres. The acres to be hand cut were areas that equipment did not work during previous reclearing operations. The acres to be mowed were areas that were mowed during previous reclearing operations.
All of the wooded sections of the right-of-way are to be recleared with rotary mowers where possible and the remaining areas are to be hand cut orl d
to the full width as noted in detail description. All undergrowth is to be cut within six (6) inches of the ground. All vines on poles and brush around poles in fields are to be cut and removed out of cropped areas. Cut all leaning trees that have been pulled into the right-of-way by winter ice storms or hurricanes. All brush cut from stream banks or drainage ditches must be removed from streams and ditches so as not to impede the flow of water.
When run ways are cut through existing canals, the canal must be restored to original condition allowing drainage to continue as it did before our operation. The vista' screens and trimmed trees are not to be cut without specific instructions from Company representative.
If an area of brush grows tall enough to threaten the line before the scheduled time of cutting, a move to cut the area will be required upon specific instructions from the Company representative.
Make daily production sheets of clearing completed between adjoining line structures and send in weekly to David L. Smith, Jr., 8645 Trade Street, Leland, NC 28451.
The work may be started within seven (7) days of endorsement of the contract and must be completed by December 1, 2005.

All sections of line listed in ROW widths are to be recleared.
The right-of-way widths are as follows:
Brunswick - Cumberland 230kV Structure #34 through #685, 100 feet; 50 feet each side of centerline of line.
From Structure #468 through Structure #473, do not mow wildlife food plots of bicolor lespedeza.

From Structure #355 through Structure #365, Structure #444 through Structure
- 445, and Structure #450 through Structure #451, the right-of-way is not to be recleared until specific directions are given on when and how to cut. These are rare plant sites and no disturbance can be made to the plants during their reproductive stages The right-of-way widths are as follows:
Brunswick - Jacksonville 230kV Structure #208 through Structure #567, 100 feet; 50 feet each side of centerline of line.
